Terms ofService

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "Customer") and Astrium Software Solutions CC (Registration Number 2002/061588/23) ("Astrium", "we", "us", or "our"), governing your access to and use of our SaaS products and services, including Astrium Connect, Astrium Insight, and any other products offered through astrium.co.za.

By creating an account or using any Astrium product, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Definitions

• "Service" means any SaaS product or platform operated by Astrium.
• "Account" means the user account you create to access a Service.
• "Content" means any data, text, files, or other materials you upload, submit, or transmit through the Service.
• "Subscription" means your paid or trial access to a Service under a selected plan.

2. Account Registration

To use our services, you must create an account by providing accurate and complete information, including your name and email address. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised use of your account.

3. Subscriptions and Payment

Our services are offered on a monthly subscription basis. By subscribing, you agree to pay the applicable fees for your selected plan. All fees are quoted in South African Rand (ZAR) unless stated otherwise.

Payment is processed through our third-party payment provider. You authorise us to charge your selected payment method on a recurring monthly basis until you cancel.

4. Free Trials

We may offer free trial periods for certain products. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We will notify you before the trial expires.

5. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You agree not to:

• Use the Service in any way that violates applicable South African law or regulation.
• Access or attempt to access another user's account without authorisation.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicence, or redistribute access to the Service without our written consent.

6. Your Content

You retain ownership of all Content you upload or transmit through the Service. By using the Service, you grant Astrium a limited licence to store, process, and display your Content solely for the purpose of providing the Service to you.

You are solely responsible for the legality, accuracy, and appropriateness of your Content. We do not monitor or endorse user Content.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of Astrium Software Solutions CC and is protected by South African copyright and intellectual property law. You may not copy, modify, or create derivative works based on the Service without our written consent.

8. Data Protection

We process personal information in accordance with the Protection of Personal Information Act 4 of 2013 ("POPIA"). For details on how we collect, use, and protect your data, please refer to our Privacy Policy.

9. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice. We are not liable for any loss or damage arising from service downtime or interruptions.

10. Limitation of Liability

To the maximum extent permitted by South African law:

• Astrium shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
• Our total liability for any claim arising from or related to the Service shall not exceed the total fees paid by you in the 3 months preceding the claim.
• We are not liable for any loss of data, revenue, or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless Astrium, its members, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your Content, or your violation of these Terms.

12. Termination

You may terminate your account at any time by cancelling your subscription. We may suspend or terminate your access if you breach these Terms or our Acceptable Use Policy. Upon termination:

• Your access to the Service will cease at the end of the current billing period (or immediately in the case of termination for cause).
• Your data will be retained for 90 days, after which it may be permanently deleted.
• Provisions that by their nature should survive termination will continue to apply.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to active subscribers at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
